5. Typographical Errors and Order Acceptance

In the event that a Tsuen May Trading, Inc. product is mistakenly listed at an incorrect price, Tsuen May Trading, Inc. reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price. If your credit card has already been charged for the purchase and your order is canceled, Tsuen May Trading, Inc. shall issue a credit to your credit card account in the amount of the incorrect price. You will then have the option to reorder the product at the correct price if you wish.

6. Notice

Tsuen May Trading, Inc. may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided to Tsuen May Trading, Inc..

7. Use of Site

Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Any disputes or claims arising from your use of this site or purchases from Tsuen May Trading, Inc. shall be resolved exclusively in accordance with the arbitration provisions set forth in Section 12 of these Terms and Conditions.

9. Participation Disclaimer

Tsuen May Trading, Inc. does not and cannot review all communications and materials posted to or created by users accessing the site, and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, Tsuen May Trading, Inc. is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, Tsuen May Trading, Inc. reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark, or other intellectual property right of another, or (d) offensive or otherwise unacceptable to Tsuen May Trading, Inc. in its sole discretion.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tsuen May Trading, Inc., its officers, directors, employees, agents, licensors, and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

11. Third-Party Links

In an attempt to provide increased value to our visitors, Tsuen May Trading, Inc. may link to sites operated by third parties. However, even if the third party is affiliated with Tsuen May Trading, Inc., Tsuen May Trading, Inc. has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Tsuen May Trading, Inc.. Nonetheless, Tsuen May Trading, Inc. seeks to protect the integrity of its website and the links placed upon it and therefore requests any feedback on not only its own site, but for sites it links to as well (including if a specific link does not work).

12. Governing Law, Arbitration, and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, U.S.A., without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the use of this site, or any products or services purchased from Tsuen May Trading, Inc., shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

The arbitration shall be conducted in the English language before a single neutral arbitrator who is a licensed attorney or retired judge experienced in commercial law. The arbitrator shall apply the substantive law of the State of Florida, without regard to its conflict of laws rules. Each party shall bear its own attorneys’ fees and costs and shall share equally the fees and expenses of the arbitrator, unless the arbitrator determines otherwise in the award. The arbitrator’s decision shall be final, binding, and non-appealable, except as allowed under the Federal Arbitration Act (FAA).

By agreeing to these Terms and Conditions, you expressly waive any right to participate in a class action, class arbitration, or representative action against Tsuen May Trading, Inc., and you waive any right to a jury trial. All claims must be brought on an individual basis.

Notwithstanding the foregoing, either party may bring an action in a court of competent jurisdiction in Miami-Dade County, Florida solely for the purpose of seeking temporary or preliminary injunctive relief to protect its intellectual property rights or confidential information, or to enforce an arbitration award, without waiving the obligation to arbitrate all other disputes.

13. Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by Tsuen May Trading, Inc. with at least 7 days' notice for reasons other than a violation of these Terms. Termination for violation of these Terms may occur immediately. The provisions relating to Copyrights, Trademarks, Disclaimer, Limitation of Liability, Indemnification, and Miscellaneous shall survive any termination.

14. Updates to Terms and Entire Agreement

We may update or modify these Terms at any time. We will notify you of any material changes affecting your rights or obligations, including but not limited to arbitration, liability, or termination provisions, by email in addition to posting the revised Terms on the site and updating the "Last Updated" date. Your continued use of the site after such notice constitutes acceptance of the changes. For particularly critical changes, Tsuen May Trading, Inc. may require an explicit acknowledgment (such as a click-through) upon your next login or interaction with the site.

These Terms and Conditions constitute the entire agreement between you and Tsuen May Trading, Inc. regarding the use of this site and supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
